Chapter 10 - the vote before morning

Hale Dominion’s emergency board meeting was moved to a private conference center downtown.

Thomas insisted he had not authenticated anything.

Noah believed only one thing.

“Someone has a copy of your credentials.”

Thomas nodded.

“Or access to my biometric token.”

“Where is it?”

Thomas reached beneath his shirt.

A small metal authentication tag normally hung from a chain.

The chain was empty.

His face changed.

“It was there yesterday.”

“When did you notice it missing?”

“I didn’t.”

Melissa looked at him.

“Quarry.”

Thomas remembered Kerr stumbling against him while Detective McKenna searched the area.

“No.”

Kerr had been frightened.

Injured.

Desperate.

And close enough.

Samuel Kerr was placed under protective custody.

McKenna checked.

He was gone.

A uniformed officer had received electronic authorization to transfer him to another facility.

Authorization issued by Thomas Blackwell.

Fake again.

Adrian stared at the board documents.

“Kerr took the token.”

“Or someone took it from him,” Noah said.

Lena looked at the timeline.

Kerr had confessed to forging the trust dissolution.

He had been kidnapped by Melissa’s brother.

He had implicated Thomas.

Now he vanished with Thomas’s authentication token.

“Why would Kerr help the people who abducted him?”

“Because they still have leverage,” Ethan said.

“His son.”

The threat against Kerr’s son had never disappeared.

Noah traced the accelerated board vote.

The agenda contained a single emergency resolution.

Hale Dominion would accept a $600 million liquidity facility from Northstar Capital to stabilize alleged financial weakness.

In exchange, Northstar received temporary governance rights.

“It’s an acquisition without calling itself one,” Adrian said.

“And they created the weakness themselves,” Ethan added.

Lena looked at her forged share pledge.

“My voting block is the guarantee.”

“Yes,” Noah said. “Without your eighteen percent, the resolution probably fails.”

“Then I vote against it.”

Thomas shook his head.

“Ryan has filed your proxy.”

“The forged one?”

“He claims it’s valid.”

“I never signed it.”

“Prove that before nine tomorrow.”

Lena’s attorney requested emergency judicial review.

The earliest hearing was 8:15 a.m.

Forty-five minutes before the board vote.

Ryan arrived at court wearing a dark suit and an orthopedic brace around his ribs.

He looked like a wounded husband.

Melissa had disappeared into protective custody under McKenna’s supervision, so Ryan lacked his strongest witness.

Instead, he submitted photographs of Adrian kicking him.

He argued Lena’s brothers were manipulating her because pregnancy, trauma, and family pressure had made her incapable of independent financial decisions.

Lena listened without expression.

Then her attorney played the mansion audio recovered from a hidden hallway microphone.

Ryan’s voice:

“Give me the keys and get out.”

Lena:

“Ryan… I’m pregnant with your child!”

The impact of the cane.

Her cry.

Melissa:

“You heard him. Get out.”

The judge’s expression changed.

Ryan’s attorney asked for exclusion.

The judge refused.

Temporary enforcement of Ryan’s proxy was suspended pending forensic review.

Lena exhaled.

One obstacle down.

But outside the courtroom, Noah received bad news.

Northstar had triggered an emergency debt clause unrelated to the proxy.

If the board rejected the liquidity facility, three Hale subsidiaries would technically default by noon.

“They’re forcing the directors to choose between surrender and insolvency,” he said.

Adrian looked at Lena.

“Dad designed a trap. Where’s the exit?”

Lena remembered Melissa’s words.

Victor’s version was the trap.

The encrypted drive contained another locked folder.

It required a password.

Noah tried Victor’s standard codes.

Nothing.

Lena tried family dates.

Nothing.

Thomas suggested legal phrases.

Nothing.

At 8:52 a.m., only eight minutes remained.

Lena stared at her father’s note.

Do not let anger make you underestimate fear.

“What was Dad afraid of?” she whispered.

Not Ryan.

Not losing money.

Losing control of the family company after his death.

Lena typed four words.

KEEP THE FAMILY WHOLE.

The folder opened.

Victor’s recorded video appeared.

He looked tired.

Older than Lena remembered.

“If you are watching this, someone has activated Northstar.”

The board members fell silent.

Victor continued.

“Northstar was never a company. It was a test.”

Ryan’s face changed.

Victor explained that after discovering unexplained transfers, he secretly allowed the false debt structure to continue.

He inserted hidden legal triggers.

Any attempt to seize Hale voting shares through the Northstar structure automatically transferred ownership of the supposed debt into the Hale Protective Trust.

The company was not insolvent.

The family controlled the lender.

The board-room silence became absolute.

Adrian slowly smiled.

The takeover had collapsed.

Ryan stood.

“This recording can be fabricated.”

Noah displayed the verified legal filings.

“No.”

The resolution failed.

Northstar’s temporary governance rights evaporated.

For one brief moment, Lena thought it was over.

Then Victor’s video continued.

“There is one reason Northstar may still succeed.”

Lena’s smile disappeared.

“If the person who designed the original structure remains inside Hale Dominion, they can trigger the second covenant.”

Thomas whispered, “Second covenant?”

Victor looked directly into the camera.

“If that happens, do not look outside the family office.”

A security alert appeared on Noah’s screen.

SECOND COVENANT ACTIVATED.
