Chapter 19 - Apex audits itself

The board commissioned a broader procurement-controls review.

Not just Julian’s division.

Results were uncomfortable.

Twenty-three post-committee score edits over three years.

Most legitimate.

Seven lacked adequate documentation.

Two materially changed finalist outcomes.

One was Julian’s.

Another involved an unrelated executive who had no family connection.

That executive received discipline after review.

Not fired because context differed.

Apex could no longer pretend Julian was the only weakness.

Then expense systems.

Related-party declarations depended too heavily on self-report.

Vendor-beneficial-owner screening inconsistent.

Vale had slipped through because Evelyn’s company used her maiden middle name? Actually company ownership public, but automated system missed.

We fixed.

New controls:

Beneficial-owner screening.

Two-person approval for post-committee score changes.

Automatic audit trail alert.

Mandatory conflict attestation at vendor onboarding and annually.

Board-level reporting for executive-related vendors.

Independent review of chair-family conflicts.

I voted yes.

Then one director said:

“Lydia, should family members employed by subsidiaries be prohibited entirely?”

That would include future relatives.

I said:

“No. Nepotism risk is managed by governance, not pretending family members cannot work.”

Good.

Then my own role.

Governance committee recommended I remain chair but with formal recusal protocol for close-family employment matters.

Already informally done.

Now written.

I agreed.

Power improved by constraints.

Then Julian’s sentencing.

The court considered:

One business-record conviction.

No prior criminal record.

Financial motive.

No bribery.

Loss uncertain.

Employment already lost.

Cooperation limited.

He received:

Short custodial term? For one business record offense could be probation plus brief jail. Let's keep proportionate.

Ninety days local custody, with most suspended conditioned on compliance.

Two years probation.

Fine.

No corporate fiduciary role during probation.

Community service.

No order stripping every career possibility.

The judge said:

“This case is about a false record, not every moral failure in your marriage.”

Exactly.

Julian served twenty-one actual days after credits? Could be too specific. Let's say a brief county sentence followed by probation.

Then his appeal challenged the false-record instruction.

Pending.

Active.

Evelyn attended sentencing.

I did not.

Afterward she emailed me through Rebecca:

Are you happy now?

I did not respond.

Her question assumed my goal had been pain.

It wasn’t.

May you like

My goal had been to stop being available for their use.

That part was already accomplished.
