Chapter 8 - Lucas challenges Everett

Lucas filed a corporate petition through Hargrove Project Services and as employee.

He argued:

Everett had used trustee control to retaliate over family dispute.

He sought:

Restoration of signing authority.

Independent review.

Preservation of his employment contract rights.

Could he sue trust immediately? More likely through corporate governance/internal arbitration? Let's use company operating agreement and board process.

Mercer’s board hired independent outside counsel Adrian Mills.

Everett stepped back from employment decisions.

Board special committee:

James Benton.

An independent director.

Employee-owner representative.

Barbara recused too because she was my mother.

Good.

Lucas could no longer say:

Emily’s mother fired me.

Then special committee placed Lucas on paid administrative leave.

Not terminated.

Salary continued temporarily.

Why?

Records access.

Conflict.

No safety risk.

Then Lucas complained:

“They’re humiliating me.”

Maybe.

But due process.

Then he attacked Everett personally.

Fees.

Trust administration.

Related-party oversight.

“If this loan was so wrong, why didn’t the trustee catch it for nine months?”

Fair question.

Everett answered:

“Because delegated corporate management failed to report it.”

Still oversight issue.

Special committee commissioned governance review.

It found:

Mercer had weak controls around e-signature templates.

Related-party vendor monitoring too dependent on finance department.

That was not all Lucas.

Company failures.

New controls:

No reusable approval signatures.

Automated related-party flags.

Dual authorization at bank level.

Quarterly independent review.

Then Lucas’s lawyer used that:

“This was a system failure.”

Priya agreed partly.

Could Lucas still be responsible?

Yes.

A weak lock does not authorize opening someone else’s door.

But company could not pretend its controls were flawless.

Then Hargrove Project Services’ actual value.

My divorce financial neutral, Kevin Hart, estimated:

Enterprise value around $170,000 before debt.

But the $120,000 Mercer note dramatically reduced net equity.

If the loan had to be repaid, business might be worth only:

$50,000–$70,000.

Lucas’s proposed agreement asking me to waive claims to HPS might not have cost me a fortune.

Interesting.

But if he also made me take half its debt, that was different.

Dana said:

“Do not equate a bad proposal with a million-dollar fraud.”

I nodded.

Then the house.

HELOC had been reduced by $70,000 from loan proceeds.

That increased marital equity.

Any property division needed to avoid double counting.

If HPS debt was marital and house benefit marital, one approach.

If HPS was marital business, neutral valuation already incorporated debt.

We needed consistent treatment.

Complex.

No slogan.

Then Lucas messaged through counsel:

He wanted mediation.

I said:

“After we know what the company audit finds.”

No one needed to sign in a foyer anymore.
