Chapter 22 - Daniel testifies against his mother

Vivian’s Northlight case reached evidentiary mediation after she refused $7,500.
Daniel appeared as witness.
He was not taking my side.
He was answering.
“Did Vivian intend landscaping payments as a loan?”
“No.”
“How do you know?”
“She called it a gift.”
“Did Claire solicit the money?”
“No.”
“Did Northlight promise repayment?”
“No.”
Then wine cellar.
“Did you ask Vivian to front deposit?”
“Yes.”
“Did you intend to repay?”
“I said I would if she wanted.”
“Did she ask?”
“No.”
“Did Claire know?”
“Not at first.”
There.
Could Vivian have claim against Daniel?
Maybe.
He offered:
$12,000 to settle wine-cellar ambiguity.
Vivian refused.
She wanted $50,000 from Northlight.
Mediator asked:
“Why?”
She said:
“Because Claire kept the house.”
There.
Not because invoice.
Because outcome.
Mediator ended session for break.
Daniel sat across hall from me under protection-order logistics, attorneys between.
He did not approach.
Later his lawyer sent note:
Daniel will resolve the wine-cellar issue personally if Vivian releases Northlight.
Offer:
$18,000 from Daniel.
Vivian finally accepted:
$20,000.
She dismissed Northlight claim with prejudice.
No payment from me.
No lien.
Daniel paid his mother.
Why would he?
Closure.
Possible moral debt.
Litigation cost.
Then Mara asked:
“Do you feel vindicated?”
“No.”
“What do you feel?”
“Like Vivian just charged admission to leave.”
Mara smiled.
Then Alder Row hit 71% occupancy.
Permanent refinancing approved.
New loan paid MidState bridge.
Guaranties reduced substantially.
Vivian received first permitted sponsor distribution:
$140,000.
Daniel:
$90,000.
Under their settlement, part of Daniel’s future distribution obligation began.
He paid Vivian:
$60,000.
Remaining contractual balance:
$200,000, payable from future qualifying distributions.
Not due immediately.
Their financial tie continued, but structured.
No need wait years for it to vanish.
Then Vivian stepped down from daily Bennett Urban consulting.
Why?
Board preferred fewer family conflicts.
She retained board seat and investment.
Her $96,000 annual consulting agreement ended at quarter close.
No severance.
No scandal.
Daniel supported.

Vivian did not speak to him for three weeks.
He survived.
