Bennett Urban’s outside investors called a governance meeting.
Alder Row refinance closed.
Project safe enough.
Now they wanted permanent changes.
Daniel remained managing partner.
Vivian remained investor/director.
Samuel Ross wanted:
Independent chair.
Related-party transaction committee.
Annual guaranty disclosures.
No affiliate capital representations without executed evidence.
Approved.
Vivian voted against independent chair.
Lost.
Daniel voted for.
Then compensation.
Daniel’s management fee reduced slightly because independent finance director now handled controls.
His income fell around:
$35,000 annually.
Not punishment.
Role changed.
Vivian called it:
“Claire’s revenge by proxy.”
Ross told her:
“Claire is not in this room.”

Then he wrote one final business affidavit for court closing:
